AIBU INC.
Terms of Service
Effective: October 25, 2026
These Terms are written in Korean. This English version is a translation; if the two differ, the Korean version prevails.
Article 1 (Purpose)
These Terms of Service (“Terms”) set out the rights, obligations and responsibilities of AIBU Inc. (주식회사 아이부, “AIBU”) and of customer organizations and users in connection with AI Workspace for Commerce, AIBU Studio, the AIBU website (ai-bu.net) and other related services AIBU provides (together, the “Services”).
Article 2 (Definitions)
- “Customer” means a company, organization or sole proprietor that has entered into a service agreement with AIBU (“Service Agreement”).
- “User” means an employee or other person authorized by a Customer who uses the Services with an account issued by AIBU. Visitors to the website and people who submit an inquiry are subject to these Terms to that extent.
- “Customer administrator” means a User designated by the Customer to invite Users and manage their roles and permissions.
- “Partner User” means an employee of a Customer's trading partner whom the Customer has invited to the partner portal. The provisions of these Terms on Users apply to Partner Users.
- “Customer Data” means material that a Customer or User enters or uploads, and material AIBU retrieves through integrations the Customer has authorized (sales, order, stock, settlement, advertising performance and review data, files, questions, video material and the like).
- “Outputs” means analyses, answers, to-dos, proposals, forecasts, images, video, audio and other results the Services produce or suggest from Customer Data.
- “Integrated Services” means third-party services such as Sellmate, Musinsa Partner Center, Ably Seller Admin, Meta ads, Google Drive and Naver Works that a Customer has authorized to be connected to the Services.
- “Individual Agreement” means a service agreement, order form, quotation, statement of work or similar document agreed in writing (including electronic documents) between AIBU and a Customer.
Article 3 (Publication, effect and precedence of individual agreements)
- AIBU publishes these Terms where Users can easily find them, linked from the website's front page and the sign-in page, and makes the full text available on the sign-up, invitation and agreement screens.
- These Terms apply to Customers and Users of the Services. Users use the Services under these Terms within the scope the Customer permits.
- Where an Individual Agreement provides otherwise than these Terms, the Individual Agreement prevails.
- Matters not covered by these Terms or an Individual Agreement are governed by applicable law and general commercial practice.
Article 4 (Changes to these Terms)
- AIBU may change these Terms to the extent permitted by applicable law.
- AIBU announces each change on the website before it takes effect, stating the effective date, the changes and the reasons. A change AIBU intends to treat as accepted under paragraph 4, and a change that adds or replaces a sub-processor (Article 13(5)), is also notified separately to Customer administrators by email.
- For a material change, AIBU asks each User to agree to the changed Terms the first time they sign in on or after the effective date. A User who does not agree cannot continue to use the Services with that account.
- For a change that does not require renewed agreement under paragraph 3, if an email AIBU sent to Customer administrators at least 7 days before the effective date clearly stated that a Customer who does not object by the effective date will be deemed to have accepted the change, and the Customer does not object by that date, the Customer is deemed to have accepted the changed Terms. This paragraph does not apply to a change for which AIBU did not send such an email.
- A Customer that does not accept a change may terminate the Service Agreement before the effective date without any penalty for doing so.
- A change to these Terms cannot alter the fees, term or scope of service set in an Individual Agreement without the Customer's consent.
- For a change that adds a feature applying only to Users who separately choose to agree to it, and that contains nothing unfavorable to Customers, AIBU announces it on the website and asks only those Users for their optional agreement when the feature is first offered. Because nothing changes for Users who do not agree, paragraphs 3 and 4 do not apply to such a change.
Article 5 (Formation of the service agreement and Users' agreement)
- A Service Agreement is formed when a Customer applies to use the Services and AIBU accepts, either by entering into an Individual Agreement or by issuing accounts to the Customer.
- AIBU may decline or defer an application that contains false information, is clearly intended to violate the law or these Terms, or cannot be served for technical or operational reasons, and will tell the applicant why.
- Every member of a Customer must individually agree to these Terms and read the Privacy Policy to use the Services. Signing up and accepting an invitation each show one required checkbox, ‘I agree to the Terms of Service and have read the Privacy Policy’, and no account is created unless it is ticked. Optional items on the same screen, such as AI conversation memory, can be left unticked: the account is still created and the Services can be used as before. ‘Agree to all’ is a shortcut that ticks the required and optional items at once; it starts unticked, and each item can still be unticked on its own. Users whose accounts existed before this agreement was introduced agree once, the next time they sign in.
- A User's agreement lasts until the User leaves (has the account deleted) or the Service Agreement ends, with no separate expiry. AIBU asks again only when these Terms change materially (Article 4(3)) or when the law requires agreement to a change in the Privacy Policy. One agreement covers both AI Workspace for Commerce and AIBU Studio. Once a User agrees, these Terms also apply between that User and AIBU.
- The Services are provided for business use. People under 14 may not use the Services.
Article 6 (Accounts and permissions)
- Customer administrators invite Users, assign roles that fit their work, and promptly remove access that is no longer needed, for example when someone leaves.
- Users keep their account details accurate and do not share their passwords or two-step sign-in methods (authenticator app, emailed verification codes). Customer administrator accounts must set up two-step sign-in within the period AIBU sets. A User who learns that an account has been or may have been compromised must tell the Customer administrator and AIBU immediately.
- Users may use only the data and functions their Customer and role allow. Attempts to access another Customer's data or to bypass access controls are prohibited.
- When AIBU learns that an account has been compromised, it takes the steps needed to prevent harm and informs the Customer. AIBU is not responsible for loss caused by a Customer's or User's failure to meet paragraphs 1 to 3 unless AIBU acted intentionally or negligently.
- Customers and Customer administrators must not require Users to turn on a feature used only with optional agreement, must not ask AIBU or Users for personal information processed by such a feature, and must not use it in hiring or performance evaluation.
Article 7 (The Services)
- AI Workspace for Commerce is a business web application that brings together the sales channel, order management and advertising data a Customer has authorized, shows it on one screen, answers Users' questions, and shows to-dos and proposals for advertising, product, review and logistics work. Each Customer uses its own address (for example, company-name.ai-bu.net).
- AI Workspace for Commerce includes a partner portal where trading partners invited by a Customer exchange orders, statements and sales reports. A Partner User can see only their own partner's data.
- AIBU Studio is a service for planning video on a storyboard and creating and editing advertising images, video, audio and other material with AI (studio.ai-bu.net).
- AIBU may provide other related services, such as workflow automation consulting and operations, under an Individual Agreement.
- The specific functions, connections and support for each Service are as set out in the Individual Agreement and on the service screens.
- AI Workspace for Commerce has an ‘AI conversation memory’ feature that each User may choose to turn on. Once it is offered, it makes memory notes from the conversations of the User who turned it on and uses them only in that User's answers; Users who leave it off can use every other feature as before. What is processed and for how long is set out in section 3 of the Privacy Policy.
Article 8 (AI outputs and final decisions)
- The Services use artificial intelligence (AI) models to produce Outputs. In particular, images, video and audio in AIBU Studio are created with generative AI, using models from external AI providers (the providers and what is sent to them are listed in section 9 of the Privacy Policy).
- Outputs may be inaccurate or incomplete, may resemble outputs others receive, and may not suit a particular purpose. Outputs are reference material to support the Customer's business decisions.
- Final decisions and approvals, such as changing ad budgets, setting prices, linking products to ads, processing orders and publishing material, are made by the Customer (its Users). The Services may show such proposals together with the figures behind them, but do not apply them to an Integrated Service until a User has reviewed and approved them or, at the Customer's request, AIBU staff have reviewed them (Article 9(2)).
- AIBU works to make Outputs verifiable, for example by letting Users check where each figure came from and when it was collected, and by never showing missing data as 0.
- Before publishing an Output or using it in advertising, Users must check the facts, laws on labeling and advertising, possible infringement of third-party rights, and advertising platform policies.
- Where applicable law or an advertising platform's policy requires disclosing that an Output was made with AI, or that a person shown in it is a virtual person rather than a real one, AIBU makes the disclosure the law requires of AIBU, and the Customer (its Users) publishing the Output or using it in advertising makes any disclosure needed where it is published.
- Outputs made with AIBU Studio carry a machine-readable indication (such as file properties) that they were made with generative AI, and may contain invisible marks added by AI providers. Advertising platforms or services where you publish outputs may read these and show their own AI labels.
Article 9 (Integrations and scope of access)
- AIBU connects only to the Integrated Services a Customer has authorized, and only within the scope authorized.
- In Sellmate, AIBU reads data and applies only those tracking-number registration, shipment, cancellation and return actions that a User has reviewed and approved, or that AIBU staff have reviewed and applied at the Customer's request. Actions applied by AIBU staff are also recorded in the audit log with who applied them and when. The Sellmate access AIBU receives is likewise limited to reading and these four actions.
- For Meta ads, AIBU accesses only advertising performance data and does not change ad settings. Customers change ad settings themselves in Ads Manager.
- For seller centers such as Musinsa Partner Center and Ably Seller Admin, AIBU's servers sign in with the login details the Customer provides (for Musinsa, including the one-time password (OTP) generator setting) only to view and download data, and never change products, ads or channel settings. Login details are kept encrypted, only on AIBU servers with restricted access, and are used only to retrieve data. The Customer can stop AIBU's access at any time, for example by changing the password.
- Storage integrations such as Google Drive and Naver Works access only the material within the scope granted when a Customer or User connected them. Data received through Google APIs is handled as described in section 18 of the Privacy Policy.
- The Customer warrants that it has the authority to allow AIBU to access its Integrated Service accounts. AIBU and the Customer cooperate to comply with the terms and policies of Integrated Services.
- Outages, policy or feature changes, or access restrictions at an Integrated Service may make part of the Services unavailable. When AIBU becomes aware of this, it informs the Customer without delay and works with the Customer on alternatives.
Article 10 (Availability, changes and maintenance)
- Unless there are special circumstances, AIBU provides the Services 24 hours a day, every day of the year. Scheduled work such as the nightly collection of sales channel data runs, as far as possible, outside Customers' working hours, between 02:00 and 05:00 Korean time.
- AIBU may release updates or carry out maintenance to improve or secure the Services. Where use may be briefly interrupted, AIBU shows the remaining time on the screens in use beforehand or waits until no one is using the Service. Planned maintenance expected to make a Service unavailable for an hour or more is announced in advance where possible, on the service screens or by email to Customer administrators. Urgent security measures or recovery from an outage may be carried out first and announced afterwards.
- AIBU may be temporarily unable to provide all or part of the Services because of equipment failure, power cuts, network failures, outages at Integrated Services or external AI providers, natural disasters or other unavoidable causes. In that case AIBU informs Customers without delay and works to restore the Services.
- AIBU may change features of the Services for good reason. Changes that reduce or remove a key function set out in an Individual Agreement are agreed with the Customer in advance.
- If AIBU intends to discontinue a Service entirely, it notifies Customers at least 30 days before the discontinuation date and returns or deletes Customer Data under Article 21.
Article 11 (Fees)
- Fees, the base allowance, the calculation method, payment timing and method, and taxes follow the Individual Agreement or the prices shown in the Service.
- Where costs arise from usage of external providers, such as AI models or video generation, the calculation method is set in the Individual Agreement. AIBU calculates fees from usage records and provides the details on the Customer's request.
- Where a monthly base allowance is set for a Customer, AIBU shows a notice in the Services when usage goes over it. Work continues past the base allowance, and fees for usage over it follow the Individual Agreement. The base allowance can be changed by agreement with the Customer. To prevent excessive costs, a task may still stop when it reaches a usage limit set per User or per task.
- Fees charged in error or overpaid are refunded or settled against the next invoice.
Article 12 (Rights in and use of Customer Data)
- Rights in Customer Data belong to the Customer (or the rightful owner).
- AIBU processes Customer Data only as needed to provide and maintain the Services, keep them secure, respond to failures and support Customers, and as the Customer requests or agrees.
- Customer Data is kept separate for each Customer so that other Customers cannot see it. Except as required by law, AIBU does not sell or provide Customer Data to third parties.
- Orders, sales and stock data that a Partner User enters or uploads in the partner portal is Customer Data of the Customer that invited that partner. A Partner User can see only their own partner's data, not the Customer's other data or other partners' data. The Customer is responsible for having a basis agreed with its partner for using the partner's data in the Services.
- AIBU does not use Customer Data to train general-purpose AI models. Models such as price forecasts are built separately, from each Customer's own data.
- To improve service quality, AIBU may use AI answers to advertising questions, and how they were rated, to improve answer guidelines shared by all Customers. These guidelines never include Customer names or figures.
- AIBU processes service usage records, such as feature usage, costs and error records, to calculate fees and operate the Services.
- Memory notes made by AI conversation memory (Article 7(6)) are used only in the answers of the User they belong to, are not shown to other Users of the same Customer or to Customer administrators, and are not used to build or improve the models in paragraph 5 or the answer guidelines in paragraph 6. A Customer administrator may turn the feature off for the whole company, in which case that company's Users' memory is deleted within 5 days.
Article 13 (Processing of personal data on the customer's behalf)
- AIBU processes the personal information of website visitors, inquirers and Users under its Privacy Policy.
- Where Customer Data contains personal information of the Customer's consumers or other data subjects, the Customer is the controller of that information and AIBU is the processor entrusted with processing it. The Customer and AIBU treat this Article as the written entrustment required by Article 26 of the Korean Personal Information Protection Act (PIPA), unless an Individual Agreement provides otherwise.
- AIBU processes entrusted personal information only for the purpose and within the scope of providing the Services under the Service Agreement, and does not process it for any other purpose or provide it to third parties.
- AIBU applies the security measures described in the Privacy Policy and limits access to personal information to the minimum number of people who need it for their work.
- The Customer consents to AIBU sub-entrusting work needed to provide the Services to the processors disclosed in the Privacy Policy (cloud hosting, email delivery, AI processing and the like). Before adding or changing a sub-processor, AIBU updates the Privacy Policy and informs Customer administrators, and the Customer may object. If an objection cannot be resolved, the Customer may terminate the Service Agreement for the affected Service without penalty.
- The Customer may request information needed to check how AIBU handles entrusted processing, and AIBU cooperates except for information that cannot be disclosed for security reasons.
- If AIBU becomes aware that entrusted personal information has been lost, stolen, leaked, forged, altered or damaged (a "breach"), or that a breach may have occurred, it informs the Customer without delay and within 24 hours at the latest, and helps the Customer make the notifications and reports required by law.
- When the Service Agreement ends, AIBU returns or destroys entrusted personal information under Article 21.
- If AIBU breaches its obligations under this Article and causes loss to the Customer, it compensates the Customer under Article 22.
Article 14 (Customer responsibilities for data)
- The Customer must have the rights and legal basis (such as notice to or consent from data subjects) needed to provide Customer Data to the Services.
- Customers and Users must not upload sensitive information, unique identifiers such as resident registration numbers, or financial information that the work does not require.
- When uploading or using as reference material in AIBU Studio anything that shows a person's face or contains their voice, or another party's copyrighted works, trademarks, music or similar, Users must obtain the necessary permission from that person or rights holder.
Article 15 (Outputs and intellectual property)
- Customers may freely use the Outputs they create with the Services for their own business to the extent permitted by law, and AIBU does not assert rights in Outputs that would prevent that use. Outputs made with AI may not be protected by copyright or similar rights under applicable law.
- Rights in the Services, software, screens, documentation, workflow designs and underlying technology belong to AIBU or the rightful owners. These Terms grant Customers only the right to use the Services and do not transfer AIBU's intellectual property.
- Rights in and permitted use of deliverables created under an Individual Agreement may be set separately in that agreement.
Article 16 (Confidentiality)
AIBU and the Customer use non-public business information of the other party obtained in connection with the Service Agreement only for the purposes of the Service Agreement, and do not disclose it to third parties without the other party's consent. Either party may disclose such information to the extent required by law or by a lawful demand of a court or investigative authority, informing the other party in advance where the law permits. This obligation continues for three years after the Service Agreement ends, unless a separate confidentiality agreement provides otherwise.
Article 17 (AIBU's obligations)
- AIBU complies with applicable law and these Terms and works to provide the Services reliably.
- AIBU applies the safeguards described in the Privacy Policy to protect Customer Data and personal information.
- AIBU deals with Users' opinions and complaints it finds justified without delay and, if this takes time, explains why and when it will be done.
- AIBU does not send advertising messages. It sends only the messages needed to use the Services, such as account invitations, password-reset links, and notices about service operation and fees.
Article 18 (Prohibited conduct)
Users must not:
- use another person's account, access another Customer's data, or bypass access controls;
- commit fraud, distribute malware or otherwise break the law, or process personal information unlawfully;
- infringe the copyright, trademark, image, privacy, reputation or other rights of others;
- create or distribute Outputs that the law or the policies of Integrated Services or AI providers prohibit, such as synthetic media that impersonates a real person or misleads people about the facts, obscene material, or content that promotes discrimination or hatred;
- interfere with the normal operation of the Services or Integrated Services, or place excessive load on them;
- reverse engineer the Services except where the law expressly permits it, or copy or resell the Services without AIBU's permission.
Article 19 (Restriction of use)
- AIBU may restrict use of the Services to the extent necessary if a User breaches Article 18 or there is a clear risk to the security or stability of the Services, other Customers or Integrated Services.
- Before restricting use, AIBU informs the Customer administrator of the reason and duration and gives an opportunity to correct the problem. Where an urgent security threat must be stopped, AIBU may restrict use first and inform the Customer without delay.
- The Customer may object to a restriction, and AIBU lifts it promptly if the objection is justified.
Article 20 (Term and termination)
- The term of the Service Agreement is set in the Individual Agreement; if none is set, the agreement continues until either party terminates it.
- The Customer may terminate the Service Agreement at any time by notifying AIBU. Settlement of fees already paid follows the Individual Agreement.
- AIBU may terminate the Service Agreement if the Customer breaches a material obligation under these Terms or an Individual Agreement and does not correct it within a reasonable period (at least 14 days) after AIBU's request. Where the breach violates the law and cannot be corrected, AIBU may terminate immediately.
- Termination takes effect when notice reaches the other party (or on the date stated in the notice).
Article 21 (Return and deletion of Customer Data at the end of the agreement)
- When the Service Agreement ends, AIBU stops retrieving data from Integrated Services and promptly deletes the access details the Customer provided, such as seller center login details and integration tokens. AIBU recommends that the Customer also change passwords or revoke connection permissions in the Integrated Services.
- When the Service Agreement ends, AIBU offers the Customer a way to export Customer Data (for example, downloadable files). AI conversation memory (Article 12(8)) is a User's personal setting, so it is not included in the download; it is deleted within 5 days after the agreement ends, as set out in section 5 of the Privacy Policy.
- Within 30 days after the Service Agreement ends, AIBU deletes Customer Data and the account details of the Customer's Users so that they cannot be restored and, on request, confirms the deletion. If the Customer asks for deletion sooner, AIBU deletes without delay. Copies remaining in backups and earlier file versions in file storage are removed automatically when their retention period ends (database backups at most 7 days, earlier file versions 30 days).
- Information that the law requires AIBU to keep, and the minimum contract and billing records, audit logs, and inquiry and support records needed to investigate security incidents and handle disputes, are kept separately for the periods stated in the Privacy Policy and then deleted.
Article 22 (Damages)
- If AIBU or the Customer breaches these Terms or an Individual Agreement and causes loss to the other party, it compensates that loss.
- Where an Individual Agreement sets the scope or limit of damages separately, that agreement applies.
Article 23 (Limitation of liability)
- AIBU is not liable for loss that occurs without intent or negligence on AIBU's part, such as loss caused by natural disasters, outages or policy changes at Integrated Services or external providers, or faults of the Customer or its Users.
- AIBU's liability for loss caused by its ordinary negligence is limited to the total fees the Customer actually paid AIBU for the Service concerned in the 12 months before the event that caused the loss. Loss arising from special circumstances (such as lost profits) is compensated only if AIBU knew or could have known of those circumstances.
- Paragraph 2 does not apply to loss caused by AIBU's intent or gross negligence, to loss of life or bodily injury, or to loss for which liability cannot be limited under the Personal Information Protection Act or other applicable law.
Article 24 (Notices)
- AIBU gives notice to Customers by email to Customer administrators or by notices on the service screens. For matters that concern all Customers, posting on the website or the service screens may replace individual notice, but changes that Article 4 says are notified by email and matters that significantly affect a Customer's rights or obligations are notified individually.
- Customers and Users can contact AIBU at aibesideyou@gmail.com. Company details: AIBU Inc., business registration no. 239-81-04262, 5F A-38, 753 Building, 27 Yeoksam-ro 9-gil, Gangnam-gu, Seoul, Republic of Korea.
Article 25 (Governing law and jurisdiction)
- These Terms and the Service Agreement are governed by the laws of the Republic of Korea.
- AIBU and the Customer will first try in good faith to resolve any dispute by discussion.
- Lawsuits over disputes not resolved by discussion are brought in the court that has jurisdiction under the Korean Civil Procedure Act. Where an Individual Agreement sets a court by agreement, that agreement applies.
Effective date and revision history
These Terms take effect on October 25, 2026.
Revision history
- October 25, 2026 update: the required items at sign-up and invitation acceptance were merged into one, ‘I agree to the Terms of Service and have read the Privacy Policy’, and ‘Agree to all’ is described (Article 5(3)). Because processing of personal information is based on performing the service agreement, the Privacy Policy is now read rather than agreed to; Users take on no new obligations.
- October 25, 2026 update: Article 8 now describes the machine-readable AI marks on AIBU Studio outputs.
- October 24, 2026 update (before taking effect): set out the procedure for changes (Articles 4 and 24: announced before they apply; changes to be treated as accepted and sub-processor changes are also emailed to Customer administrators), and revised the notice of planned maintenance (Article 10) and of personal information breaches (Article 13: including possible breaches, within 24 hours).
- October 24, 2026 update (before taking effect): added the optional AI conversation memory feature (Article 5(3), Article 7(6)) and set out that memory is used only for its User, never for shared answer guidelines or models, and is left out of the download at the end of the agreement (Article 12(8), Article 21(2)). The feature applies only once it is offered and when a User turns it on.
- Effective October 25, 2026 (current): Korean Terms of Service adopted, setting out each member's agreement, individual notice of changes, the scope of access to Integrated Services, and the return and deletion of data at the end of the agreement. The services were renamed AI Workspace for Commerce and AIBU Studio, and this English version was revised to match the Korean.
- October 13 to October 24, 2026: previous Terms of Service
